Agreement to Terms

By accessing or using Pectra AI (the "Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms in full, you are prohibited from using or accessing the Service. These Terms apply to all visitors, registered users, and organizations that access or use the Service in any capacity.

Use of the Service

Pectra AI grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for lawful personal or business email management. You agree not to use the Service to:

• Violate any applicable local, national, or international law or regulation
• Transmit spam, phishing content, unsolicited bulk email, or malicious code
• Impersonate any person, entity, or misrepresent your affiliation with any party
• Scrape, crawl, or data-mine the Service without express written permission
• Attempt to gain unauthorized access to any component, server, or system of the Service
• Interfere with or disrupt the integrity, performance, or security of the Service

Account Registration & Security

To access Pectra AI, you must create an account and connect it to your email provider via OAuth. You are solely responsible for:

• Providing accurate, current, and complete registration information
• Maintaining the confidentiality of your account credentials at all times
• All activity that occurs under your account, whether authorized or not
• Notifying Pectra AI immediately of any suspected unauthorized access

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or remain inactive for more than 12 consecutive months.

Subscription & Payments

Pectra AI offers free and paid subscription tiers. By subscribing to a paid plan, you agree to the following:

Billing — Subscriptions are billed in advance on a monthly or annual cycle. All charges are in USD unless otherwise specified at checkout.

Non-Refundable — All fees paid are non-refundable except where required by applicable consumer protection law.

Automatic Renewal — Your subscription renews automatically at the end of each billing period unless cancelled before the renewal date in your account settings.

Price Changes — We will provide at least 30 days' notice before any price increase. Continued use after the notice period constitutes acceptance.

AI-Powered Email Features

Pectra AI uses large language models (LLMs) to generate email drafts, summaries, and reply suggestions. You acknowledge and agree that:

• AI-generated content is advisory — you are solely responsible for reviewing, editing, and approving all content before it is sent from your account
• The AI may occasionally generate inaccurate, outdated, or contextually inappropriate suggestions
• You must not use the AI to generate deceptive, harmful, discriminatory, or illegal communications
• Pectra AI makes no guarantee regarding the accuracy, completeness, or fitness of AI-generated output
• You bear full legal and ethical responsibility for every email sent from your account, regardless of AI involvement

Intellectual Property

The Service, including all software, algorithms, interfaces, branding, and original content, is and remains the exclusive property of Pectra AI, Inc. and its licensors. Our trademarks, logos, and service marks may not be used without prior written consent.

You retain full ownership of your email content and data at all times. By connecting your email account to Pectra AI, you grant us a limited, non-exclusive, royalty-free license to access and process your email content solely for the purpose of providing the Service as described in our Privacy Policy. This license terminates immediately upon disconnection of your account.

User Content & Prohibited Conduct

You are solely responsible for all content processed through or generated via the Service. You agree not to use Pectra AI to:

• Send unsolicited commercial email (spam) or conduct mass mailing campaigns
• Harass, threaten, bully, or harm any individual or group of individuals
• Distribute malware, ransomware, trojans, keyloggers, or any malicious software
• Engage in phishing, social engineering, or identity theft
• Violate the intellectual property, privacy, or data protection rights of any third party

Violations may result in immediate account suspension or termination without prior notice, and may be reported to relevant law enforcement authorities.

Privacy & Data Processing

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by this reference. By using Pectra AI, you consent to the collection, processing, and use of your information as described therein.

Key commitments from our Privacy Policy:
• We do not sell your personal data or email content to any third party
• Email content is processed in isolated environments solely to deliver the Service
• You may delete all your data at any time from your account settings
• We use TLS 1.3 and AES-256 encryption to protect data in transit and at rest

Disclaimers & Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PECTRA AI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Pectra AI does not warrant that:

• The Service will be continuously available, uninterrupted, or error-free
• AI-generated content will be accurate, complete, or suitable for your needs
• The Service will meet your specific business or compliance requirements
• Defects or errors in the Service will be corrected within any specific timeframe

Termination

Either party may terminate this agreement at any time.

Termination by You — You may close your account at any time from your account settings page. You will retain access until the end of your current billing period.

Termination by Pectra AI — We may suspend or terminate your access immediately, without notice, if you violate these Terms, engage in fraudulent activity, or if required by law.

Effect of Termination — Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days as described in the Privacy Policy. Sections of these Terms that by their nature should survive termination will continue in full force and effect.

Governing Law & Disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Dispute Resolution — Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in San Francisco, California, under the rules of the American Arbitration Association.

Class Action Waiver — You agree that any dispute resolution proceedings will be conducted on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration proceeding.

Changes to These Terms

Pectra AI reserves the right to modify these Terms of Service at any time. We will provide reasonable notice of material changes through the following methods:

• Email notification to your registered address at least 14 days before the effective date
• A prominent in-app notice displayed for 30 days following any update
• An updated "Last updated" date at the top of this page

Your continued use of the Service after the effective date of any revised Terms constitutes your binding acceptance of those changes. If you do not agree to the updated Terms, you must discontinue use of the Service and may close your account before the changes take effect.
